Corporate & Legal Drafting

At Legis Vista, we work on the simple principle that 90% of legal work in most cases is all about the ‘administrative and mechanical processes’; and only 10% is actual (substantive) legal advice.  So, by separating the two aspects, and letting our highly qualified lawyers focus only on the 10% advisory component, while managing the mechanics of your legal case through unregulated paralegals (at a much lower cost), you save significant amounts of money.  At the same time, our case management service ensures your legal matter runs on time and within budget.

We can also combine our internal paralegal resources with external legal expertise of the highest caliber.  We can guide you to the best legal experts that suit your requirements or work with experts of your choice.

We will ensure that all legal professionals working on your case are selected correctly, to put your interests before theirs.  Far too often, when clients instruct a law firm, they are surprised by the high costs of legal services, especially when little progress is made on their legal case.  That’s because the acting lawyers can put their interests first, and may take advantage of the client’s lack of understanding in a legal matter.  A Legal Case Manager, on the other hand, is always on the client’s side.  It selects a team of legal representatives based on proven professional track records.

Debt Collection

Legis Vista provides astute legal advice and the drafting of legal agreements, policies, and documents to address your immediate and ongoing business needs. We can assist, negotiate, and draft agreement terms with the co-founders, investors, employees, suppliers, and customers.

Signing a contract is essential before starting any commercial dealing or relation including trading, employment, buying and selling of properties, etc. The origin of contracts has deep-rooted ties with trust issues, especially when it comes to business. The prime objective of an agreement is to make it legally enforceable in case of a breach of terms by either party. Even if you are a vigilant and wise businessman, it is not uncommon to have a situation where people just sign an important contract without even reading the whole content, only to face consequences at a later stage. The process of contract drafting requires a fair approach with due diligence and a piece of thorough knowledge of the law. To avoid these side effects, it is always advisable to consult with an attorney before signing any contract to ensure that your interests are legally protected.

The drafting of an agreement, when you are running a business, will strengthen your business relations, remove the ambiguities in defining the role of parties, and will avoid unnecessary disputes and litigations and Court expenses.

Our team of expert lawyers will make sure that the interests of our clients are duly protected under the applicable laws that will ultimately save your pocket.

Intellectual Property Services

When presented with a contract or agreement to sign, it is critical to ensure it covers exactly what you need it to and that it shields you and your business from any unacceptable risks.

Business contracts are integral to any business, no matter how big or small. They are used to protect businesses, employees, clients, suppliers, landlords, tenants, and just about anyone your business comes into contact with. Without legally sound contracts, your business could be at risk and, as a result, you could lose income, assets, and employees or even cause disputes.

As a business owner, you must make sure all the business contracts you put in place will have the most positive outcome for your business. Whether you want advice on a particular aspect of your contract or need a full-scale legal review of contracts, our contract review service will ensure your business’s best interests are protected

What to Expect

When we review a contract, we make sure that it:

  • Meets the needs of your business.
  • Reflects on what you have agreed.
  • Is unambiguous.
  • Addresses your key rights and obligations.
  • Complies with the current laws and regulations

What Do We Offer

We assist our clients with a wide range of agreement reviews, some of the most common types of agreements include:

  • Business Terms & Conditions
  • Confidentiality Agreements
  • Non-Disclosure Agreements
  • Consultancy Agreements
  • Supply of Services
  • Supply of Goods
  • Loan Agreements
  • Sale & Purchase Agreements
  • Settlement Agreements
  • Employment Agreements
  • Shareholders Agreements

Your agreement will be reviewed by our expert legal professionals who are adept with local and international laws and regulations. We will discuss with you the background and purpose of the agreement before we can provide our comprehensive legal analysis of the agreement.

After we identify any issues with your contract, we will modify your agreement (redline your contract) so that you can submit these changes to the other party to the agreement. Contracts are often redlined (marked with changes) and exchanged between parties until a finalized agreement is agreed to.

Our service will provide you with specific and in-depth analysis from a qualified legal consultant on what a contract contains, what may be absent, and what would be advisable to amend.

DEBT COLLECTION

The United Arab Emirates is a business hub with a rapidly growing economy, and businesses face struggles while recovering their unpaid debts during the process of business. This may include bounced cheques, agreement default, etc.

The UAE laws provide strict rules against debt collection cases. We guide our clients on the procedure to initiate criminal and civil proceedings against the defaulter and make sure of the recovery of unpaid debts.

We also advise our clients on how their interests are preserved and their assets are protected at the time of filing for debt collection cases. Our team, after assessing your current financial status, will help you decide the best solution for you and provide you the help and assistance throughout the process. Our debt collection services through Courts or settlement give a sense of security in recovering our client’s outstanding amounts.

The scope of our services would include the following:

  • Legal opinion and assistance on alternative solutions
  • Legal advice on the statutory requirements for the filing of cases.
  • Assistance in negotiation or settlement with the debtors
  • Filing of cases before the Courts and drafting memorandums.
  • Execution of Court orders.

DISPUTE RESOLUTION

Disputes are a fact of modern life. Understanding and dealing with a dispute in a professional and commercial way has never been more important. Being involved in a dispute can be a stressful, time-consuming, and expensive experience, and we work with our clients to take on the strain.

Often our clients are keen to preserve a commercial or personal relationship in a dispute. In these circumstances we are able to work with our clients to avoid the courtroom and instead explore other practical and cost-effective avenues to resolve disputes, including mediation or other forms of alternative dispute resolution.

We partner with our clients to help manage risk and solve serious business problems, avoiding proceedings unless necessary. When litigation is unavoidable, we weigh business objectives against legal, commercial and reputational risk to determine the best path to success – whether through settlement or a fight. We analyse negotiating weaknesses and devise optimal procedural tactics or creative settlement approaches, executing as promptly and as cost effectively as possible.

Trademark Law in the United Arab Emirates is governed by the Ministry of Economy under Federal Law No. (37) of 1992. Trademark Registered is valid for all seven emirates: Abu Dhabi, Dubai, Sharjah, Umm Al Quwain, Ras Al Khaimah, Ajman, and Fujairah. The trademark certificate would be valid for Ten years.

Trademark registration is significant for entities competing to enter the marketplace currently dominated by established firms; intellectual property may be the only weapon a small entity has to gain entry.

We offer you the best services at affordable prices because your growth is our ultimate goal!

Trademark Registration Procedure

Filing:  This is the stage where we submit the application and obtain the official filing number of the application. Once we receive the filing details, we will send them to you.

Examination:  All trademark examinations are done in the Ministry of Economy in Abu Dhabi.  This is the stage where the trademark examiner scrutinizes your application whether it will be accepted, for a technical requirement or rejected. In case your application is accepted, we will send you an email informing you that your trademark has been accepted.

Publications:  Once your application is accepted, your application will be published in two local Arabic newspapers and the trademark journal.  In this stage, your application will be open for opposition or objection by a third party in a specific period and that is 30 days from the date of its publication.

Registration: If there’s no opposition filed against your application during the publication stage, the final registration fees must be paid for the issuance of the registration certificate.

Please note that a period of 2-3 months will be taken to complete the registration process.
